These Terms of Service ("Terms") govern your access to and use of the VeyaTalk platform, website, applications, and related services (collectively, the "Platform").

By accessing or using VeyaTalk, you agree to be legally bound by these Terms. If you do not agree, you must not use the Platform.

1. Eligibility & Age Requirements

1.1 You must be at least 18 years old to use VeyaTalk.

1.2 By using the Platform, you confirm that you are legally permitted to enter into binding contracts under applicable law.

1.3 We reserve the right to request identity verification at any time.

2. Platform Description

2.1 VeyaTalk is a marketplace platform that enables users ("Users") to book and participate in live, face-to-face video calls with independent content creators ("Creators").

2.2 VeyaTalk does not provide video calls itself, does not control Creator behavior, and is not a party to any interaction between Users and Creators.

2.3 Creators act as independent contractors, not employees, partners, agents, or representatives of VeyaTalk.

3. Account Registration

3.1 You must provide accurate, complete, and up-to-date information when creating an account.

3.2 You are responsible for maintaining the confidentiality of your login credentials.

3.3 You are fully responsible for all activities conducted through your account.

4. Creator Accounts

4.1 Creators are solely responsible for:

• setting availability
• pricing
• content of video calls
• compliance with applicable laws

4.2 Creators may not:

• provide adult or sexually explicit content
• engage in harassment, coercion, hate speech, or illegal activity
• solicit off-platform payments
• record calls without explicit consent

4.3 VeyaTalk reserves the absolute right to suspend, restrict, demonetize, or terminate any Creator account at its sole discretion, with or without notice.

5. Bookings & Payments

5.1 Users may book video calls through the Platform by paying the displayed price.

5.2 Payments are processed via third-party payment providers. VeyaTalk does not store payment card details.

5.3 VeyaTalk retains a platform service fee from each transaction.

5.4 Creators acknowledge that:

• payouts are not guaranteed
• delays may occur due to verification, compliance, or fraud prevention
• taxes are solely the Creator's responsibility

6. Cancellations & Refunds

6.1 Refunds are not guaranteed and are handled on a case-by-case basis.

6.2 No refunds will be issued for:

• missed calls caused by the User
• dissatisfaction with Creator personality or content
• technical issues outside our reasonable control

6.3 VeyaTalk reserves full discretion in refund decisions.

7. Video Call Rules

7.1 All video calls must remain:

• lawful
• respectful
• non-sexual
• non-exploitative

7.2 Recording, screenshots, or redistribution of video calls is strictly prohibited without explicit written consent.

7.3 Any violation may result in immediate account termination and legal action.

8. Prohibited Conduct

You agree NOT to:

• harass, threaten, or exploit others
• impersonate another person
• upload malicious code
• circumvent fees or platform safeguards
• use the Platform for illegal purposes

9. Content & Intellectual Property

9.1 All Platform content, trademarks, logos, and software belong to VeyaTalk.

9.2 Creators grant VeyaTalk a non-exclusive, worldwide, royalty-free license to display their profile content for platform promotion.

10. Moderation & Enforcement

10.1 VeyaTalk may:

• monitor activity
• remove content
• suspend or terminate accounts
• cooperate with law enforcement

10.2 We are under no obligation to provide justification for enforcement actions.

11. Disclaimer of Warranties

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE".

We make no guarantees regarding:

• availability
• earnings
• quality of interactions
• success of bookings

12. Limitation of Liability

To the maximum extent permitted by law:

VeyaTalk shall not be liable for:

• emotional distress
• lost profits
• reputational damage
• user-generated content
• interactions between Users and Creators

Our total liability shall never exceed the amount paid by the User in the last 3 months.

13. Indemnification

You agree to indemnify and hold harmless VeyaTalk, its directors, officers, employees, and affiliates from any claims arising from:

• your use of the Platform
• your violation of these Terms
• your interactions with other Users or Creators

14. Termination

14.1 We may terminate or suspend access at any time, for any reason, without liability.

14.2 Termination does not affect accrued rights or obligations.

15. Governing Law & Jurisdiction

These Terms are governed by the laws of England and Wales.

All disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.

16. Changes to Terms

We may update these Terms at any time.

Continued use of the Platform constitutes acceptance of changes.
